1. Agreement to Terms

These Terms & Conditions (also known as "Terms," "Terms of Use," or "Terms of Service") constitute a legally binding agreement between you ("you," "your," or "User") and Rise Plasma ("we," "us," or "our"), governing your access to and use of the website riseplasma.com (the "Site"), including any associated subdomains, mobile sites, applications, or services.

By accessing or using the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy, which is incorporated by reference. If you do not agree to these Terms (or the Privacy Policy), you must not access or use the Site.

We reserve the right, at our discretion, to modify, suspend, or terminate the Site (or any part thereof) and to change, add, or remove portions of these Terms at any time. We will post notification of changes on the Site and update the "Last Updated" date. Your continued use of the Site after changes constitute your acceptance of the new Terms.

2. Eligibility & Account Registration

2.1 Eligibility. You must be at least 18 years of age (or the age of majority in your jurisdiction) to use the Site. By using the Site, you represent and warrant that you satisfy the eligibility requirements.

2.2 Account Creation. To access certain features of the Site (e.g. scheduling appointments, joining the waitlist, accessing your donor account), you may be required to register for an account. When you register, you agree to:

• Provide accurate, current, and complete information.
• Maintain and promptly update your account information.
• Keep your password and account credentials secure and confidential.
• Notify us immediately of any unauthorized use of your account or any breach of security.

You are responsible for all activity that occurs under your account.

3. Use of the Site; Restrictions

3.1 Permitted Use. Subject to your compliance with these Terms, we grant you a limited, nonexclusive, nontransferable license to access and use the Site for your personal use.

3.2 Prohibited Activities. You agree you will not, and will not assist others to:

• Use the Site in any unlawful manner or for any unlawful purpose.
• Violate any applicable laws, regulations, or third-party rights (including intellectual property, privacy, publicity, or contractual rights).
• Transmit any viruses, malware, worms, or harmful code.
• Attempt to gain unauthorized access to the Site, other accounts, or systems.
• Interfere with or disrupt the integrity or performance of the Site.
• Use bots, scrapers, spiders, or automated means to access or collect data from the Site (unless expressly permitted).
• Use the Site to spam, harass, defame, or harm others.
• Impersonate any person or entity or misrepresent your affiliation with any person or entity.
• Modify, adapt, translate, or reverse engineer any portion of the Site (except as permitted by law).
• Reproduce, duplicate, copy, sell, resell, or exploit any portion of the Site without our express prior written permission.

We reserve the right to suspend or terminate accounts or access for violations of these restrictions.

4. Content & Intellectual Property

4.1 Our Content. All content on the Site (e.g. text, graphics, logos, images, audio, videos, software, design, compilation) is owned or licensed by us, and protected by copyright, trademark, trade secret, or other intellectual property rights. Except as expressly permitted in these Terms, you may not reproduce, distribute, modify, create derivative works from, publicly display, or exploit any portion of the Site without our prior written consent.

4.2 User Content / Contributions. If you submit, post, or upload any content (e.g. comments, reviews, images, videos) on or through the Site ("User Content"), you grant us and our affiliates a worldwide, perpetual, irrevocable, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform that User Content in connection with the Site and our business operations. You also represent and warrant that:

• You own or have permission to grant this license.
• The User Content does not violate any law or third-party rights (e.g. defamation, privacy, intellectual property).
• The User Content is not infringing, obscene, or otherwise objectionable.

We may (but are not required to) monitor, review, edit, or remove User Content for any reason, including violations of these Terms.

4.3 DMCA / Copyright Complaints. If you believe content on the Site infringes upon your copyright, you may submit a takedown notice in accordance with the Digital Millennium Copyright Act (DMCA). Provide the required information (identification of the copyrighted work, location of infringing material, contact details, a statement under penalty of perjury). We may remove or disable access to the allegedly infringing material. Repeat infringers may have their accounts terminated.

5. Waitlist & Services

5.1 Waitlist Registration. By joining our waitlist, you are expressing interest in becoming a plasma donor when Rise Plasma centers open in your area. Joining the waitlist does not guarantee acceptance as a donor or priority access to services.

5.2 No Payment Required. Registration for the waitlist and use of the Site is currently free. We reserve the right to modify this in the future with notice.

5.3 Communications. By joining the waitlist, you consent to receive communications from us regarding center openings, donation opportunities, and related information. You may opt out of these communications at any time.

6. Disclaimers & Warranties

THE SITE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING WITHOUT LIMITATION:

• WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE.
• THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
• THAT ANY DEFECTS OR ERRORS CAN BE CORRECTED.
• THAT CONTENT OR MATERIALS ON THE SITE ARE ACCURATE, COMPLETE, OR RELIABLE.

We do not guarantee that any content, information, or service obtained through the Site will meet your requirements.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE (OR OUR AFFILIATES, LICENSORS, OR SERVICE PROVIDERS) BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, DATA, GOODWILL, BUSINESS INTERRUPTION) ARISING FROM OR RELATING TO YOUR USE OF (OR INABILITY TO USE) THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

YOUR SOLE REMEDY FOR DISSATISFACTION WITH THE SITE IS TO STOP USING IT. OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE SHALL NOT EXCEED USD $100.

Some jurisdictions do not allow limitation or exclusion of certain damages; if those laws apply, our liability will be limited to the extent permitted by law.

8. Indemnification

You agree to defend, indemnify, and hold harmless Rise Plasma, its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, demands, suits, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your breach or alleged breach of these Terms.
• Your use of the Site or your violation of any law or third-party rights.
• Your User Content (or any content you submit) or your violation of third-party rights.

We reserve the right, at our expense, to assume the exclusive defense and control of any claims; in that event, you agree to cooperate with us.

9. Termination

We may suspend or terminate your account or access to the Site (or any portion thereof), with or without cause, and with or without notice, effective immediately. Upon termination, your rights under these Terms (including license rights) will immediately cease. You must cease all use of the Site. Sections that by their nature should survive termination (e.g. Intellectual Property, Disclaimers, Indemnity, Limitation of Liability, Governing Law) shall survive.

10. Governing Law, Disputes & Arbitration

10.1 Governing Law. These Terms and your use of the Site are governed by and construed in accordance with the laws of the United States, without regard to its conflict-of-law rules.

10.2 Dispute Resolution. You and we agree to attempt to resolve any dispute, claim or controversy arising out of or relating to these Terms informally by good-faith negotiation. If not resolved within 30 days, either party may pursue legal remedies.

10.3 Arbitration / Venue. Any dispute (excluding intellectual property claims) shall be resolved by binding arbitration under the rules of the American Arbitration Association. Judgment on the arbitration award may be entered in any court having jurisdiction. You hereby waive any right to a jury trial.

11. Modifications, Interruptions & Updates

We reserve the right to modify, suspend, discontinue, or update the Site (or features or content) at any time, for any reason, and without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuance of the Site.

We may also change or amend these Terms at any time by posting the updated version and updating the "Last Updated" date. It is your responsibility to review these Terms periodically. If you disagree with changes, you must stop using the Site. Changes will not affect disputes that arose prior to the change.

12. Severability & Waiver

If any provision of these Terms is held invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision will be limited or eliminated to the minimum extent necessary so that the remaining provisions of these Terms remain in full force and effect. No waiver by us of any right or provision under these Terms shall be deemed a further waiver or continuing waiver.

13. Entire Agreement

These Terms (together with our Privacy Policy and any policies or documents expressly incorporated by reference) constitute the entire agreement between you and us relating to the Site and supersede all prior or contemporaneous communications, proposals, or agreements between you and us (whether oral or written).

14. Miscellaneous

Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations in our sole discretion.

Notices. Any notices shall be delivered via email or by posting on the Site.

Force Majeure. We will not be liable for delays or failures due to causes beyond our reasonable control (e.g. natural disaster, war, pandemic, acts of third parties).

Relationship of Parties. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship.

Third-Party Services. The Site may integrate or interoperate with third-party services (e.g. payment processors, social media, APIs). Your use of those services is subject to their terms.

Feedback. If you provide us feedback, suggestions, or ideas, you grant us a non-exclusive, royalty-free, perpetual, irrevocable license to use them without obligation to you.
